Thank you for choosing to apply for placement on Impact Gap Year. We are committed to providing you the best support as you prepare for the experience of a lifetime, which is why we have laid down the following Terms and Conditions. 

By submitting your application online and providing your booking details you have hereby confirm acceptance of these Terms and Conditions. Please ensure you read them carefully and do not hesitate to ask us any questions during the consultation process.

Please note there may be additional conditions which apply to individual placements.

Parties

This agreement (the ‘agreement) is made between:

Program participant (known as a ‘volunteer’, ‘student’ or ‘participant’) of a program detailed on our website (collectively known hereafter as ‘applicants’, ‘you’ or ‘participant’); and Impact Gap Year (known hereafter as ‘Impact Gap Year’, ‘IGY’, ‘we’, or ‘us’).

Partners

Impact Gap Year works with third-party organizations to provide gap year programs and related services. Impact Gap Year has partnered with African Impact, Ecua Explora, Kaya Responsible Travel, Raleigh International, Roots Interns, and World Endeavors (“Partners”) to deliver gap year programs. When an Impact Gap Year customer purchases a product on this website, they are then provided with the additional information and terms for receiving the product(s) they purchased from our Partners.

Applicability

These are the only terms that define the provision of services by Impact Gap Year and our partners AFRICAN IMPACT, INC. (“AFRICAN IMPACT”), ECUA EXPLORA, INC. (“ECUA EXPLORA”), KAYA RESPONSIBLE TRAVEL INC. (“KAYA”), RALEIGH INTERNATIONAL, INC. (“RALEIGH”), ROOTS INTERNS, INC. (“ROOTS”), and WORLD ENDEAVORS, INC. (“WORLD ENDEAVORS”), all partners referred to as (AUTHORIZED PERSONS) to purchasers of Impact Gap Year’s services (each purchaser is referred to as ‘participant’, ‘applicant’, or ‘you’).

The corresponding order confirmation and these Terms constitute the parties’ entire agreement and abrogate all prior agreements, representations, negotiations, warranties, and written and oral correspondence. in the case of a dispute between these Terms and the Order Confirmation, these Terms shall enforce, unless the Order Confirmation expressly states that the Order Confirmation’s terms and conditions oversee.

Booking Process

Applications
  • If you want to apply for a placement, you will complete the online application form and disclose to Impact Gap Year all health and well-being issues and concerns that may affect your ability to partake in the programs. 
  • Our acceptance of your online application form will take place when we email you to confirm it (the “Acceptance Email”), at which point an agreement will come into existence between you and us for legal purposes.
  • You must be above 18 years of age to apply for any of the programs. Impact Gap Year reserves the right to cancel any application or terminate any placement, without refund, if false proof of age is found to have been supplied.
Health
  • You must disclose to us complete and accurate details of all pre-existing and existing physical or mental health considerations and anything else that may affect your ability to take part in the programs, including confirmation that you have received the mandatory vaccinations that are considered essential for travel. Your place on the program is subject to health clearance. Prior to booking your flights to travel and to partaking in the program you must receive an email notification confirming your health form has been cleared and any follow up has been provided to you. The confirmation process may involve you obtaining a medical check, test, certificate, or treatment from a registered doctor at your own expense.
  • It is your responsibility to make sure that you have had the appropriate and adequate vaccinations prior to going abroad and, if necessary, are taking the appropriate anti-malarial medications. We accept no responsibility for your decision not to obtain the mandatory or recommended vaccinations according to the vaccination guide provided in the Welcome Pack. In the event you were to arrive on your destination without the mandatory vaccinations, you will be required to obtain these at your own cost before you will be allowed to continue with the program. Impact Gap Year reserves the right to exclude anyone from participating in the program if they have not obtained the mandatory vaccinations.
  • For health and safety reasons you must have a reasonable level of physical fitness to partake in any of our programs. If we consider that your physical fitness is inadequate, we may refuse your participation in some or all the programs. However, Impact Gap Year is committed to Equity, Diversity, and Inclusion and therefore if you have any concerns, we ask you to discuss with us. We operate a policy of non-discrimination and any information provided that may impact an application will be discussed with the applicant prior to any decisions being implemented to establish the basis for any concerns. 
  • Impact Gap Year is not held responsible for the administration or monitoring of any medication. While we make every effort to establish safety conditions and risk assessment, participants are warned that the general standards of health, safety and hygiene in many countries visited may not be of comparable standard to Western countries and hence a risk of injury and illness is inherent to this venture.
  • Impact Gap Year reserves the right to terminate a participant’s placement, without recourse, if it comes to light that the participant failed to provide or provided inaccurate/incomplete medical history and information on current medical conditions and medications not supported by a Medical Professional’s confirmation prior to arrival. Impact Gap Year also reserves the right to not allow you to join the program should the conditions come to light before the start of your placement. In this case, you will not be entitled to a refund.
Participant
  • Some placements may require a police criminal background check, conducted by the government. This check shall be carried out at the applicant’s expense with guidance from Impact Gap Year. 
  • Impact Gap Year reserves the right to cancel any application, or terminate a placement without refund if it comes to light that the participant failed to provide or provided inaccurate/incomplete booking information (e.g. Date of Birth, Criminal Record Check) and if deemed necessary for the safety of the participant and the program. In these circumstances, Impact Gap Year also reserves the right to not allow you to join the program. If incorrect information is provided, and your placement is canceled because of this, you will not be entitled to a refund.
Insurance
  • Before you travel to your placement, you must be covered by health and travel insurance, which must include adequate cover for baggage, flight delays and cancellations, medical expenses including air evacuation, and the cost of repatriation. We recommend purchasing travel insurance within 15 days of paying your non-refundable deposit. Should you not have adequate cover prior to the commencement of your placement, you may not be allowed to continue on the program and will not be entitled to a refund. Any claims concerning matters for which you are insured must be directed to your insurers. It is often the case that Impact Gap Year will put forward the costs of medical expenses in an emergency situation. You hereby agree that Impact Gap Year (or its partners) have a right to claim from your insurance provider for any expenses that we may incur on your behalf.
Passport and Documents
  • You shall have an international passport (or an equivalent proof of identity acceptable for entry and allowed by the issuing country for travel overseas) that is valid for at least 180 days (6 months) after the end date of your chosen program.
  • Participant must provide Impact Gap Year with a copy of the travel documentation at least 60 days prior to the departure date. We will provide the complete list of required travel documentation by email and in the pre-departure pack, and it might include (but is not limited to) passport details (including number and expiry date), flight details, visa details, medical declaration, vaccination details and Covid-19 test (if required), travel & medical insurance details. You may also need to provide additional paperwork to ensure that you meet the country’s entry requirements, which may include documents such as your highest education certificate, a health certificate, a bank statement, and a CV. We will advise what documents, if any, are required and by what date on our written communications.
Flights
  • You are responsible for your own home-country transport and/or flight arrangements and for joining your program at the correct time and in the correct location. Impact Gap Year will provide joining instructions and guidance but is not responsible for organizing and/or paying for your flights.

Any information or advice provided by Impact Gap Year on matters such as permits, visas, vaccinations, climate, clothing, baggage, etc. is given in good faith, but without responsibility on the part of Impact Gap Year. For example, Impact Gap Year will not be liable for costs associated with obtaining incorrect visas. The participant accepts responsibility for obtaining all correct and necessary visas and travel documents required for their placement.

Booking Conditions

Applications are accepted throughout the year and are subject to limited space availability. Program prices are displayed on the Impact Gap Year website. Deadlines are based on the dates of the desired placement. Some programs and project placements fill up prior to their published application deadlines. Apply early to secure your space. 

Program Deadlines
  • Early Application – Application can be made up to 1 year in advance, however, arrangement and communication of the program specifics will commence 2-3 months prior to program start.
  • Application Deadline – Programs have varying deadlines. Most are around 3 months prior to the program start.
Last-minute bookings will be considered on an individual basis. Last-minute bookings are advised that their placement arrangements may require more flexibility to accommodate.
  • Total Fee Due Date – 60 days prior to program start – unless specified for a particular program. 
  • Late Payment – Payment deadlines are displayed on the invoices provided. It is important to meet these deadlines to secure your placement, and missing these deadlines may result in the cancellation of your placement. Where a payment extension is requested, this will be considered on a case-by-case basis and will incur a late payment fee of $95.
Fees and Payment
  • All payments must be made under the Impact Gap Year Stripe account, our official payment processor. This can be found on our website and we will also send you a link where to make the payment. 
  • Each booking requires a non-refundable Deposit Fee to secure your spot of US $ 200. The deposit payment must be made within 3 days of confirming your booking to secure your placement, with proof of payment sent onto Impact Gap Year. This fee will be deducted from your total program fees. This is a non-refundable fee that enables us to process your application and ensures we work to match you with the best possible placement for your skills, interest, and needs. In the event that the application is rejected by Impact Gap Year, this payment will be returned in full. You will be provided the option to “speak to an advisor before submitting your fee”, but please note that your application may not be completed until payment of this fee is received. This deposit is guaranteed for life, for you only. This can be transferred to an alternative Impact Gap Year project if the project has space for your new dates (should these change) and is confirmed in writing by us. Any price increase to your original booking will be part of your final payment. 
  • The first payment of at least 50% of your program must be accredited 120 days (4 months)  before your program start date. 
  • The last payment (reaching 100% of the fee) must be accredited 60 days (2 months) before your departure. If you book less than 60 days prior to the commencement of your placement, you will be asked to make full payment immediately to secure your booking.
  • Upon receipt of the Deposit Fee, we will contact you to arrange an online interview, work with our in-country teams to review your information, and offer you a placement in line with your request. 
  • If Impact Gap Year does not receive the full amount 60 days prior to the commencement of the placement, without making prior arrangements with us, we reserve the right to cancel the booking.

Participation At Your Own Risk

Your booking is accepted on the understanding that you realize the potential hazards that may arise in this kind of travel, including injury, disease, loss or damage of property, inconvenience, or discomfort. This type of travel is one that should allow for alternatives and a substantial degree of flexibility. The outlined itineraries given for each placement must, therefore, be taken as an indication of what each participant should accomplish, and not as a contractual obligation on the part of Impact Gap Year. Changes in itinerary may be caused by circumstances beyond our control. No refunds will be given for services not utilized.

You should note that the programs, and particularly any trekking activities during some of the expeditions, are adventurous activities that involve exposure to accepted elements of risk, challenge, and adventure greater than those normally encountered in everyday life. While such activities provided by Impact Gap Year are subject to safety management processes, Impact Gap Year does not guarantee that there is no possibility of physical injury to participants or others. Expeditions often take place in remote areas where medical or rescue facilities may not be immediately available. By applying for these programs, you accept such risks.

We are not liable to you except that we do not exclude or limit in any way our liability to you where it would be unlawful to do so. Impact Gap Year shall not be liable or responsible for:

  • Any loss, damage or mishap suffered or incurred by you unless such loss, damage or mishap cannot legally be limited (including liability for (a) death or personal injury caused by Impact Gap Year and our partner’s negligence; (b) fraud and fraudulent misrepresentation; and (c) non-performance or inadequate performance of Impact Gap year and our partner’s agreement obligations); and
  • Any losses or damages arising from any circumstances or causes outside of Impact Gap Year’s reasonable control including, but not limited to, natural disaster (including acts of God, flood, drought, snow and earthquake), terrorist attack, war, civil commotion or riots, sanctions, embargos, political instability or unrest, chemical contamination, pandemics, epidemics, fire, collapse of infrastructure, and any law or guidance imposed by government.

Cancellation Policy

Any cancellation or postponement/deferral must be agreed in writing (email) by the participant and Impact Gap Year. At no time does any refund include travel or extraneous expenses as part of your travel plans. All refunds will incur $ 100 admin fee to cover foreign exchange conversion and bank charges.

Cancellation By The Participant

If you withdraw from a program, for any reason, you must inform Impact Gap Year in writing as soon as possible. 

If you choose to withdraw from a program before it starts:

  • There might be an opportunity to defer to a future program if this takes place, but this cannot be guaranteed.
  • Application fees are non-refundable in all instances for successful applicants. Unsuccessful applicants will be fully refunded.
  • If you cancel your placement up to 60 days before the start of your placement and have already paid your program fee in full, we will issue a travel voucher for the full amount paid that can be used for future travel dates. Should you not be able to travel on future dates, on management discretion, we will offer a refund to a maximum value of 50% of the amount paid less the $ 100 admin fee and non-refundable deposit of US $ 200. If you have not yet paid in full, the non-refundable deposit is guaranteed for life, for you only.
  • If you cancel your placement between 31 – 60 days from your start date, you will not be eligible for a refund. However, we will offer a travel voucher to the full value paid to be used within 12 months. If a payment extension was granted (in writing) and you decide to cancel within this period having only paid the deposit, the non-refundable deposit is guaranteed for life, for you only.

If you choose to withdraw from a program after it has started:

  • If you decide to cancel or shorten your program for any reason (including health, bereavement, and visa issues) or should not arrive at your placement for conditions outside of Impact Gap Year’s control within 30 days of your program start, no refunds will be provided. We encourage you to approach your travel insurance to seek compensation in this instance. We are happy to provide proof of payment and cancellation if required. Travel insurance with trip cancellation coverage is strongly encouraged for this reason.

If you do not wish to cancel your placement, but instead postpone, Impact Gap Year commits to offering one deferral at no additional cost if a written request is received 60 days or more before your start date. The original fee quoted will be valid for 12 months from your original start date. After 12 months, you will be liable for the difference in fees taken in account of our annual fee changes.

A postponement or deferral is only available if it is requested 60 days or more before your placement start date. If written notice of a deferral is not provided by you, you will have no right to a refund. If you are requesting a deferral within 30 days of your placement start date, this will be at the express permission of Impact Gap Year and may incur transfer fees. If you opt to take the one free deferral option and later choose to cancel your new placement, you will not be eligible for a refund, whether you have only paid the deposit or paid in full.

Cancellation By Impact Gap Year

Impact Gap Year reserves the right to cancel any program if there are insufficient registrants (where minimum numbers apply) or if Impact Gap Year determines it is in the best interest of the applicant’s safety and quality of programming to cancel the program.  

In the unlikely event of us having to cancel your placement for reasons within our control, our first recourse, if possible, will be to offer an alternative program. If this is not acceptable to you, we will offer a travel voucher to the full value paid to be used at any future date and program fees will be frozen for 12 months from your original start date. Please note, if you are re-booking beyond this 12 month period you will need to pay the difference if there is a change in program fees. If neither of these options is acceptable to you, we will issue a full refund of the cost of the program, excluding the non-refundable deposit of US $ 200 and the $ 100 admin fee.

If we cancel your placement for reasons outside of our control including, but not limited to, disease outbreaks, war, acts of terrorism, civil unrest, sanctions, embargos, political instability or unrest, chemical contamination, pandemics, epidemics, fire, the collapse of infrastructure, natural disasters including acts of God, flood, drought, snow and earthquake, and any law or guidance imposed by government, our first recourse, if possible, will be to offer an alternative program. If this is not acceptable to you, we will offer a travel voucher to the full value paid to be used at any future date and program fees will be frozen for 12 months from your original start date. Please note, if you are re-booking beyond this 12 month period you will be liable for any change in program fees. For cancellations resulting from circumstances outside of our control, all program fees will remain non-refundable.

In either case of Impact Gap Year canceling or suspending a program, we will not be liable to refund you for any incidental expenses that you may have incurred as a result of your booking, such as visas, vaccinations, non-refundable connecting flights, etc. It is your responsibility to ensure the travel insurance policy you purchase at the time of booking provides assistance for cancellations.

Discounts

Unless otherwise specified, discounts and promotional codes are only valid for combined with any other deal participating programs. Offers are only extended at the management’s discretion and are only good for the programs stated on the website. Discount codes cannot be used after registration; they must be applied during the checkout process.

Date and Final Changes

Upon application, you will receive an interview in which your placement and program dates will be discussed. When you confirm your placement, we will agree program dates against which your placement will be held. We encourage you to stick to these as the projects plan around your participation. Under standard terms, one (1) date or program change made prior to 60 days before departure will be accommodated for, at no charge, subject to availability. Placements moved to the following year may be subject to price increases. After one (1) change has been accommodated for, any future changes made will be subject to a $ 100 admin fee – payable at the time of change. For project changes where the original project incurred an additional deposit, the additional deposit amount will NOT be transferable to your new project.

Date changes requested within 60 days prior to departure will be considered on an individual basis, the original payment deadlines will apply and changes will be subject to an administration charge of US $ 100_ – payable at the time of change. Placement changes within 60 days prior to departure are typically not accommodated for, due to project commitments made at that time.

Program Flexibility

Impact Gap Year programs are different from travel or adventure programs. Each development project and work experience placement is unique and often cannot be implemented exactly as planned for a variety of reasons. Itineraries shown are a guide and the order of activities may be shifted in line with factors, including, but not limited to the weather, changing project needs, local regulations and individual situations. Project activities shown cover most areas that you may be asked to get involved in, but additional activities may arise that require your assistance and not all activities shown may be carried out in the period of your stay. 

You should regard the schedules and project information as a fair indication of what Impact Gap Year hopes to achieve on a gap year program. However, you acknowledge that such information should not be considered an agreement obligation or a legally-binding commitment or promise by Impact Gap Year. The images of the programs on our website are for illustrative purposes only and your program may vary from those images. 

Applicants are advised that these variables may require changes before or during a program. Part of the challenge and growth opportunity is in adapting to changing conditions and overcoming the obstacles they may present.

Cancellation Of This Agreement

We may end this Agreement at any time by writing to you if:

  • You do not make payment to Impact Gap Year when it is due, and you still do not make payment within seven (7) days of us reminding you that such payment is due.
  • You do not, within a reasonable time of us asking for it and then reminding you of such, provide us with information that is necessary for the program (such necessary information includes a health and well-being form, a copy of your passport, visa details, police background check or equivalent information/check (if required).
  • You fail to satisfy certain necessary requirements within a reasonable time of us asking you to satisfy such requirements and then reminding you of such, including the requirements in respect of visas, passports, police background check, health, well-being, or fitness requirements.
  • There are circumstances outside our control and such circumstances cause the ending of the agreement.
  • You breach a material term of this Agreement.
  • You breach the Code of Conduct. In this case you won’t be able to join another Impact Gap Year programme in the future.
  • You make a deliberate and materially false statement or material omission in any of the written information that you provide to Impact Gap Year. 

In addition to any other available remedies under this Agreement, Impact Gap Year may terminate this Agreement and all Services, including without the Participant’s right to participate in any project, program, excursion, class, and other involvement of an Impact Gap Year program, and has the right to expel Participant, with immediate effect upon written notice to the Participant if either of the following conditions occurs:

  • the Participant fails to adhere to the program’s rules and regulations,
  • the Participant’s behavior is deemed by Impact Gap Year to be disorderly, disruptive, or a health risk to themselves or others.

General

In organizing and managing volunteer projects, work experience placements and courses, Impact Gap Year, its agents, employees, and staff give notice that they act solely on behalf of and for the benefit of the participants, on the express agreement that Impact Gap Year shall not be liable, financially or otherwise, for non-performance or unsatisfactory service; for the injury to persons including death, for loss of or damage to property, for accident or delay, and/or for expenses arising from strikes, weather, quarantine, sickness, government regulation, civil unrest or war, or from any act or omission of Impact Gap Year agents or employees, and/or airline, mail services, rail, bus company, vehicle rental entity, hotel, restaurant, or other suppliers of service.

By submitting this application form the participant assumes all of these risks and agrees to indemnify Impact Gap year, its officers, directors, and employees harmless for any and all liability that may arise in connection with participation in the programs offered. Impact Gap Year reserves the right to refuse any applicant admission to any program if he or she is deemed ill-suited for the program. Important program information will be sent to the email address provided on the application.

Upon application, participants consent for Impact Gap Year and the host organization to use and publish photographs, videos, statements and other media taken during the course of the program for informational and promotional purposes. This includes but is not limited to, use of images/other media for publication on the Impact Gap Year website, newsletters, advertising material and web listings. The participant may withdraw their consent for their photographs, image and/or name to be used for the above purposes, at any time, via physical or email written communication to their Impact Gap Year advisor. This release does not affect personal and private information that is covered under Impact Gap Year Privacy Policy.

Participant understands that they are solely responsible for making all travel, lodging, meal, and other arrangements for and costs associated with Participant’s use of the Services outside of the enrolled program. Participant consents to hold Impact Gap Year harmless and indemnify Impact Gap Year for any and all damages related to Participant’s travel, lodging, and food outside of Participant’s enrolled program.

Participants accept that they will be subjected to various physical and emotional demands and accept that the standard of living, including food, hygiene and accommodation in the relevant country may be below the general standards of their own country. The Participant also understands that certain risks may arise, including, but not limited to, hazards of traveling in remote areas; travel by automobile, van, bus, airplane, boat, train or any other means of conveyance; the forces of nature; civil disturbances; national or international conflicts; terrorism; arbitrary itinerary changes made by foreign governments or vendors; dive related accidents, boat accidents; interacting with dangerous wildlife; personal injury or illness from the local environment; accident or illness in remote locations without immediate evacuation or medical facilities; or negligent acts of third parties. The Participant asserts that they know, understand and appreciate these and other risks inherent in the program, agrees that participation is completely voluntary and assumes all risks associated with the program.

Impact Gap Year shall have no responsibility for any activities undertaken by the Participant outside the scope of those directly relating to the program, including activities that may have been recommended by Impact Gap Year staff, or its partners, within the location. For all excursion activities, we act as an agent, not a principal of the activity. Any information provided by Impact Gap Year, including but not limited to information about visas, vaccinations, healthcare, climate, group sizes and packing requirements is given in good faith for information and educational purposes only but without responsibility on the part of Impact Gap Year or its partners.

Behavioral Expectations

By joining an Impact Gap Year Program, the participant assumes certain obligations to Impact Gap Year, its community, and other program participants. If on-site program directors determine a participant fails to meet the behavioral expectations set out in this contract and within our Code of Conduct document, that participant will be asked to leave the program. Participants asked to leave under these circumstances will not receive a refund. In addition to other program responsibilities, the following should be taken in mind:

  • Being in sufficient good health to undertake the program. Participant has educated themselves about the environmental conditions in the nations and regions where they will be while taking an Impact Gap Year program and have determined that their health is sufficient for them to participate in the program safely.
  • Acting in an appropriate and respectful manner towards the local people, fellow travelers, program participants, and staff in accordance with the customs, laws, regulations, and ordinances of the country of placement.
  • Follow all health and safety protocols and precautions outlined by ground-team members.
  • Do not carry or use any illicit substances or non-prescription drugs for the duration of your stay in your host country.
  • Do not bring yourself or Impact Gap Year into disrepute, nor involve any other employee, participant or staff in any behavior that might amount to disrepute. If your behavior is found to be detrimental to the program that you are involved with, you may be asked to leave immediately without compensation.
  • Communicating effectively your interests, skills, limitations, and needs to home community members and program staff members.
  • Please, at all times, remain presentable and appropriately dressed. We expect you to behave with a level of courtesy consistent with the situation and, of course, the local customs.
  • We ask you to be considerate of fellow participants, travelers and coordinators by being punctual for your activities and duties to the best of your ability.
  • Please do not take days off from projects unless you have given prior notice and it has been agreed upon by your project coordinator. This does not apply in the event of illness.
  • If your behavior, words, or actions are thought to be disruptive by Impact Gap Year staff or our partners, or if you are thought to be a bad influence on others, after one warning, either verbal or written, you may be removed from the program without compensation.
  • While on placement, your accommodations will be cleaned by the relevant staff. Please treat them with courtesy and keep your room tidy. Respect your accommodation and show consideration for others.
  • The accommodation provided is for use by the participants, Impact Gap Year and our partner staff only. No one else, including any visitors, are permitted to use these accommodations while you are on your placement.
  • The number of service hours and the timing of such service will vary depending on your specific placement. You will need to show reasonable flexibility as your day-to-day schedule will likely change. Some days may include longer hours of service than others. When you arrive at your project you may also find that the number of service hours differs from those you were originally given. This is for reasons beyond our control (e.g. poor weather, school closures, or animals that need urgent attention, etc.). Every placement will have down-time for you to relax and socialize. This will usually be in the evenings and on weekends. However, for some projects it may differ. For example, on our wildlife research projects, down-time is usually during the hottest hours of the day when wildlife are least active.

Complaints And Liabilities

If a Participant wishes to lodge a complaint in relation to their program, they shall first bring the complaint to the attention of the in-country coordinator, who will make reasonable efforts to deal with and, where possible, resolve the complaint within a reasonable time. If a Participant feels that a complaint is not being dealt with adequately by their in-country coordinator they should then contact the Impact Gap Year placement advice team to escalate the issue. If the coordinator is unable to resolve any serious complaint, and the participant chooses to terminate their placement early and depart the project, they shall provide the coordinator with a written version of events leading to their early termination, prior to departure. Refunds cannot be provided for early departure unless extreme circumstances are found, which will be determined at the sole discretion of Impact Gap Year. Issues reported after the end of a program that were not reported during the program, giving the site team an opportunity to address the issue in the country, will not be considered for any compensation. Participants agree that Impact Gap Year shall not be liable for damages or compensation relating to any claim regarding inconvenience, disappointment, discomfort or loss of enjoyment.

Intellectual Property

All copyrights, patents, patent disclosures, inventions (whether patentable or not), trademarks, service marks, trade dress, trade names, logos, corporate names, and domain names, along with all goodwill associated therewith, as well as all other intellectual property rights in and to all documents, work products, and other materials that are delivered Participant under this agreement.

Confidential Information

All trade secrets, technology, business operations, strategies, information about other Participants, clients, pricing, and marketing (collectively, “Confidential Information”), disclosed by Impact Gap Year to Participant, whether disclosed orally or disclosed or accessed in writing, electronically, or through other forms of media, and whether or not marked, designated, or Information that is either I in the public domain or (ii) already known by the Participant at the time of disclosure is not considered confidential information or (iii) legitimately acquired by Participant from a third party on a non-confidential basis.

Publicity Waiver and Release

Participant hereby grants Impact Gap Year and its affiliates (“Authorized Persons”) the right to display, publicly perform, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, modify, sell, rent, license, otherwise use, and allow others to use my name, image, voice, professional and personal biographical information, and other personal information, as well as any materials made by or on behalf of Impact Gap Year unless Participant notifies Impact Gap Year otherwise in writing.

To the fullest extent permitted by applicable law, Participant hereby irrevocably waives any and all legal and rights concerning any and all liabilities, claims, demands, actions, suits, damages, and costs, including but not limited to claims for copyright or trademark infringement, infringement of moral rights, libel, defamation, invasion of any rights of privacy (including intrusion, false light, public disclosure of private facts, and misappropriation of name or likeness), and libel (collectively, “Claims”) resulting in whole or in part from the negligence of Impact Gap Year or any other party, and whether resulting directly or indirectly from the Authorized Persons’ exercise of their rights under this Agreement or the production, exhibition, advertising, promotion, or other use of the Materials, covenant not to bring any such Claim against any Authorized Person and forever releases and discharges the Authorized Persons from liability under such Claims. The Participant agrees that this Agreement cannot be terminated, annulled, or amended in whole or in part because Impact Gap Year is depending on it and will suffer significant costs as a result.

Disclosure To Third Parties

If Impact Gap Year receives inquiries about a Participant’s enrollment in Impact Gap Year programs from partners, recruiters, organizations, or other third parties, Impact Gap Year may verify or share this information with the enquiring party. The sensitive personal information that the Participant sends to Impact Gap Year, however, will not be disclosed by Impact Gap Year. Contact the admissions adviser or send an email to info@Impactgapyear.com if the Participant has any concerns about the verification of this information or its disclosure to third parties, or if they do not want this information to be validated for or released to these third parties.

Disclaimer Of Warranties

WITHOUT LIMITATION, IMPACT GAP YEAR HEREBY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, WHETHER ARISING FROM THE PROGRAM OR PERFORMANCE, USAGE OF TRADE, OR OTHERWISE, UNDER THIS AGREEMENT.

Limitations of Liability

  • NO WAY SHALL IMPACT GAP YEAR BE LIABLE TO PARTICIPANT OR ANY THIRD PARTY FOR ANY LOSS OF USE, REVENUE OR PROFIT, LOSS OF DATA OR DIMINUTION IN VALUE, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES, WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) EXCEED THE AGGREGATE AMOUNTS PAID OR PAYABLE TO IMPACT GAP YEAR UNDER THE APPLICABLE ORDER CONFIRMATION GIVING RISE TO THE CLAIM, OR OTHERWISE.
  • IMPACT GAP YEAR’S TOTAL LIABILITY UNDER OR IN CONNECTION WITH THIS AGREEMENT, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL IN NO EVENT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO IMPACT GAP UNDER THE APPLICABLE ORDER CONFIRMATION GIVING RISE TO THE CLAIM.

Waiver

Any waiver by Impact Gap Year of any of the terms of this Agreement must be expressly stated in writing and signed by Impact Gap in order to be effective. No right, remedy, authority, or privilege arising from this Agreement may be waived by omission to exercise it or by a delay in doing so. No one or only one use of a right, remedy, power, or privilege under these provisions prevents later or additional use of that right, remedy, power, or privilege, or use of another right, remedy, power, or privilege.

Any failure or delay in carrying out or performing any term of this Agreement caused by or resulting from acts or circumstances beyond Impact Gap Year’s reasonable control, such as including but not limited to, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities, terrorist threats or acts, riots or other civil unrest, a state of emergency, a revolution, an insurrection, an epidemic, lockouts, strikes, or other labor disputes (regardless of whether they involve the workforce of either party), restrictions or delays affecting carriers, difficulties obtaining supplies of adequate materials, delays in doing so, a telecommunications breakdown, or a power outage shall not subject Impact Gap Year to liability or responsibility to Participant, nor shall it be deemed to have defaulted or breached this Agreement.

Assignment

Without Impact Gap Year’s prior written approval, the Participant may not transfer any of its rights or responsibilities under this Agreement. Any alleged delegation or assignment that would be against this Section is void. No delegation or assignment exempts the Participant from any of its responsibilities under this Agreement.

Relationship of Parties

The parties are working as independent contractors with each other. There is no agency, partnership, joint venture, or other types of joint enterprise, employment relationship, or fiduciary relationship between the parties, and neither party shall have any power to contract on behalf of or bind the other party in any way. Nothing in this Agreement shall be construed as creating such a relationship.

No Third-Party Beneficiaries

Nothing in this Agreement, written or implied, is intended to or shall grant to any other person or entity any legal right, benefit, or remedy of any kind under or because of this Agreement, except for the parties hereto and each of their respective successors and permitted assignee.

Governing Law

Participants booking their placements on Impact Gap Year enter a contract with Impact Gap Year, LLC, part of the Impact Travel Group of 3015 East Franklin Ave, Minneapolis, MN, 55406 a company registered in the state of Minnesota, USA. This contract is governed by the laws of the State of Minnesota, U.S.A., excluding Minnesota conflict of laws rules, regardless of your location. You hereby expressly consent to exclusive jurisdiction and venue in the federal and state courts located in Minnesota U.S.A., for all matters or disputes arising out of or relating to these Terms and Conditions or your access or use of the Website.

Indemnification

You agree to indemnify and hold harmless Impact Gap Year and its principals, shareholders, agents, officers, directors, consultants, and employees from or against third-party claims, damages, payments, deficiencies, fines, judgments, settlements, liabilities, losses, costs, and expenses arising from or relating to any third-party claim, suit, action or proceeding arising out of the breach of Impact Gap Year’s representations and warranties contained herein.

Submission to Jurisdiction/Arbitration

Each party irrevocably submits to the exclusive jurisdiction of the federal courts of the United States of America or the courts of the State of Minnesota, U.S.A., in each case located in the City of Minneapolis, in any legal suit, action, or proceeding arising out of or relating to this Agreement. Despite the aforementioned, any dispute or claim arising from or relating to this agreement or its breach may, at Impact Gap Year’s sole discretion, be resolved through arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. In such a case, the arbitration will take place in the City of Minneapolis, there will be only one arbitrator, and judgment on the arbitrator’s decision may be entered in any court.

These Terms and Conditions and any other legal notices published by Impact Gap Year on the Site, shall constitute the entire agreement between Participant and Impact Gap Year concerning the Site, their use of Impact Gap Year, and the consumption of any content. If any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect. No waiver of any one provision outlined in these Terms shall be deemed a further or continuing waiver of such provision or any other provision, and Impact Gap Year’s failure to assert or enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.

Attorneys’ Fees

The prevailing party shall be entitled to recover from the non-prevailing party its reasonable attorneys’ fees and court costs in the event that any claim, suit, action, or proceeding is instituted or commenced by either party hereto against the other party arising out of or related to this Agreement.

Notices

All notices under this agreement (each, a “Notice”) shall be in writing and directed to the parties at the addresses listed in the Order Confirmation or to such other addresses as the receiving party may specify in writing. Every Notice must be sent to info@impactgapyear.com through email. Except as otherwise provided in this Agreement, a Notice is effective only upon receipt of the receiving party.

Severability

The invalidity, illegality, or unenforceability of any term or provision of this Agreement shall not impact the validity or enforceability of any other term or provision of this Agreement or render such term or provision invalid or unenforceable in any other jurisdiction.

Survival

The following clauses, among others, shall survive any termination or expiration of this Agreement: Confidentiality, Governing Law, Submission to Jurisdiction/Arbitration, and Survival. These clauses should naturally apply beyond the limits of this Agreement.

Amendment and Modification

This Agreement may only be updated or modified in writing signed by an authorized representative of each party and expressly stating that it alters this Agreement.

Changes To Any Policies, Terms Or Conditions

Impact Gap Year reserves the right to change, modify, add, or remove portions of this Policy at any time. If Participant objects to any such changes or any of the policies outlined above, Participant may cease using our Site. Continued use of Impact Gap Year following any such changes shall indicate their acknowledgment of such changes and agreement to be bound by the terms and conditions of such changes.
